Sales TERMS AND CONDITIONS
Canadian Aesthetics and Beauty Supply
Effective Date: August 2026
Website: www.canadianabs.ca
Location: Penticton, British Columbia, Canada
1. Strictly Business-to-Business (B2B) Status
- Commercial Intent: Buyer explicitly warrants that all purchases are made strictly for commercial resale, distribution, or professional use within a licensed business or salon.
- Consumer Laws Exclusion: You acknowledge and agree that these transactions are commercial in nature. To the maximum extent permitted by law, provincial Consumer Protection Acts do not apply to purchases made under these Terms.
- Account Verification: We reserve the right to request proof of business registration, a valid Business Number (BN), GST/HST registry information, or professional beauty licenses at any time. We may suspend or terminate accounts that cannot provide this verification.
2. Regulatory Compliance & Health Canada Standards
- Bilingual Labelling: All Products manufactured by Canadian Aesthetics and Beauty Supply are supplied in compliance with federal Canadian labelling regulations, including English and French text where legally mandated. If you resell these Products outside your home province or into the Province of Quebec, you are solely responsible for ensuring your local marketing, handling, and display comply with local language laws (such as Quebec's Charter of the French Language).
- Altering Products: Buyer shall not alter, repackage, relabel, or dilute any Products. Doing so immediately voids all warranties and transfers all regulatory liability (including Health Canada Cosmetic Notification duties) exclusively to the Buyer.
- Ingredient & Allergen Awareness: The Buyer is responsible for reviewing Product ingredient decks and safety data sheets (SDS), where applicable, to ensure suitability for their clients or retail customers.
3. Orders, Pricing, and Immediate Payment Terms
- Payment at Checkout: All purchases must be paid for in full at the time of checkout. We do not offer trade credit, Net terms, or COD options. Orders will not be processed or shipped until full payment is successfully cleared.
- Order Acceptance: All orders placed through the Site are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including inventory shortages, pricing errors, or suspected unauthorised retail activity.
- Minimums: Orders must meet our Minimum Order Quantity (MOQ) or minimum dollar spend thresholds as displayed on the website.
- Taxes and Duties: Prices listed are exclusive of taxes. Applicable GST, HST, and PST/QST will be calculated and added at checkout based on the shipping destination.
4. Shipping, Storage, and Transfer of Risk
- FOB Shipping Point: All shipments are sent FOB (Free on Board) Shipping Point from our designated Canadian warehouse. Risk of loss, damage, and ownership of the Products transfers entirely to the Buyer the moment the shipment is handed over to the carrier.
- Temperature Sensitivity: Beauty formulas (creams, liquids, waxes, actives) can be compromised by extreme heat or freezing temperatures. We are not liable for Product separation, spoiling, or degradation caused by transit delays or improper climate control during shipping or storage after leaving our facility.
- Inspection Period: The Buyer must inspect all shipments immediately upon receipt. Any claims for shortages, incorrect items, or transit damage must be submitted in writing to our support team within three (3) business days of delivery. Failure to report within this window constitutes complete and irrevocable acceptance of the shipment.
5. Strict Return and Refund Policy
- Manufacturer Defects Only: All wholesale sales are final. Returns, replacements, or refunds are strictly limited to verified manufacturer defects. We do not accept returns for buyer’s remorse, slow-moving inventory, or changes in your business operations.
- Mandatory Return Authorization: No returns will be accepted, processed, or credited without prior written clearance from us. The Buyer must request a Return Merchandise Authorization (RMA) number from our support team before shipping any items back. Unauthorized returns will be refused at our facility, and could be disposed of at the sole expense of the Buyer.
- Return Shipping Costs: If a return is authorized, the Buyer is solely responsible for all return shipping fees, insurance, and tracking. The Company will not provide prepaid shipping labels or reimburse return freight costs.
- Seller's Discretion on Remedies: Upon receipt and inspection of the authorized returned Product, the Company retains sole and absolute discretion to determine whether to issue a monetary refund to the original payment method or apply a store credit to the Buyer's account.
6. Professional Use Products
- Specialized Formulations: Certain Products on our Site are marked as "Professional Use Only" (e.g., high-concentration chemical peels, salon-grade backbar treatments, specialized lash adhesives).
- Buyer Warranty: If you purchase Professional Use Only items, you expressly warrant that they will only be applied by certified, insured, and properly trained professionals. You agree to hold the Company harmless from any adverse reactions, injuries, or legal claims arising from the application of these formulations.
7. Limitation of Liability and Indemnification
- Liability Cap: To the maximum extent permitted by applicable Canadian law, the Company's total liability for any claim, breach, or product defect shall never exceed the exact dollar amount paid by the Buyer for the specific order giving rise to the claim.
- No Consequential Damages: The Company will not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of business profits, salon downtime, reputational damage, or client injury claims.
- Indemnification: The Buyer agrees to defend, indemnify, and hold harmless the Company, its directors, and employees against any third-party lawsuits, claims, or damages resulting from the Buyer’s marketing, resale, misuse, or negligent storage of the Products.
8. Governing Law and Dispute Resolution
